Quick answer

Yes, you can license a SaaS codebase to AI labs and keep the business, the product and the customers. You sell a license and keep the code, so it can earn again, and a typical repo earns about $1,000 to $1,500 per license.

§ 01Who this is for

Can I license SaaS code and keep the business?

Yes. Licensing the code is separate from selling the business. AI labs license a scrubbed copy of the source and its history for training. Your product, customers, domain and revenue stay with you, and you keep full commercial use of the code.

That makes it a fit for live SaaS products, for SaaS side projects that stalled, and for products that were shut down. B2B tools are especially useful to labs: billing, permissions, integrations and migrations are exactly the production patterns they want to see.

Will licensing the code affect my customers?

No. Nothing is deployed, published or changed. Buyers receive a scrubbed copy of the repos for training, with secrets and personal data stripped, and never touch your servers, databases or customer accounts. Licenses are not exclusive, so you remain free to keep selling the product and to raise money on it. Check any investor or customer agreements that restrict use of the code before you submit.

If the SaaS was a side project, the same rules apply as for any personal code. Check that your employment contract did not claim it, and keep the history as it is. Small SaaS products with a few years of commits often land in the typical band.

Qualifies
  • Live SaaS products you keep running
  • Shelved and shut-down SaaS products
  • SaaS side projects with a real history
  • Admin tools, workers and infrastructure repos
Stays out
  • Customer data and production databases
  • Code a client or investor owns
  • Third-party code, which is excluded
§ 02What it is worth

How much is SaaS source code worth?

Value per license is source tokens at $100 per million plus history tokens at $40 per million. The specimen lot above, a B2B invoicing platform shelved in 2024, comes to about one typical repo’s worth. A typical repo earns about $1,000 to $1,500 per license, and a deep one with years of history and tests about $2,500 to $4,000.

SaaS products often span several repos, such as the app, the API, workers and infrastructure, and each one can earn. Licenses are non-exclusive, so you are paid each time a repo is licensed. Customer data never leaves your hands: secrets and personal data are stripped from the review copy. For the method, read how much is my code worth. For why labs pay, read sell code for AI training.

§ 03The IP question

“But this is proprietary code.”

And it is yours, which is exactly what makes it licensable. You decide what is shared: only the repos you choose, only code you hold the rights to. Secrets, customer data and third-party code stay out. Within the repos you submit, secrets and personal data are stripped from the review copy before anything reaches a buyer.

  1. Fact 01You pick what is shared.
  2. Fact 02You keep full ownership.
  3. Fact 03Secrets are stripped for you.
§ 04What to do next

What do I do next?

No clean-up needed. Submit the repos as they are. Secrets and personal data are stripped from the review copy for you.

  1. Step one

    Request access

Say who you are. You get set up and sent everything you need. Once you connect Git, you see a real per-repo estimate.

    Time A few minutes
  2. Step two

    Sign and connect

Read the agreement and sign once. Give read-only access to GitHub, GitLab or Bitbucket and pick only the repos you want to license. Submit them as they are.

  3. Step three

    Get paid, repeatedly

Your code is scrubbed and graded on the review copy, then taken to buyers in batches. Each time a license closes and the buyer pays, you are paid within 15 days.

§ 05Questions

What else do owners ask?

Q.02Can I continue using the code?

Yes, internally and in your own products. The license does not change that.

Q.09What am I responsible for?

Holding the rights to what you submit, and keeping third-party code and customer data out of the repos you select.

Q.15What does "secrets stripped" mean?

Keys, tokens, credentials and personal data are removed from the review copy of both code and history and verified before a buyer sees anything. Your repository is untouched.
